Position Summary

The Assistant Manager – Legal & Company Secretarial is responsible for managing all legal and company secretarial functions. This role ensures compliance with corporate laws and regulatory requirements while supporting internal and external stakeholders. The position also serves as the company’s legal advisor, overseeing documentation, registrations, and interactions with regulatory authorities.

Key Responsibilities.

  • Provide legal advice on company matters including articles of association, shareholder issues, and regulations
  • Draft legal and corporate documents such as Article of Association, board resolutions, and shareholder agreements
  • Ensure compliance with the Companies Act and Registrar of Companies (ROC) requirements
  • Handle company registrations, amendments, share transfers, name changes, and dissolutions
  • Manage trademark registrations, renewals, and intellectual property matters
  • Liaise with courts, government authorities, and regulatory bodies on legal and compliance issues
  • Represent the company in legal proceedings and manage external legal counsel when necessary
  • Support internal teams with legal guidance and ensure timely resolution of client legal issues

Pre Requisites

  • Bachelor of Laws (LL.B) or Master of Laws (LL.M)
  • Attorney-at-Law qualification
  • Minimum 6 years of post-qualification experience in legal and company secretarial work
  • Registered Commissioner for Oaths
  • Strong knowledge of the Companies Act and ROC procedures
  • Excellent legal drafting and documentation skills
  • Proficiency in English and Sinhala (written and spoken)
  • Strong attention to detail and ability to manage multiple tasks
  • Confident in handling legal matters independently
  • Strong communication and coordination skills
  • Leadership mindset with a client-focused approach
  • Age preferably below 40 years
